These Terms of Service (“Terms”) govern your use of the websites, software products, and services (“Services”) provided by Accelerate Outcome Ltd (“we”, “us”, “our”). By accessing or using our Services, you agree to be bound by these Terms.

2. What We Provide

We provide AI consulting services and SaaS software products sold on a subscription basis. These Terms apply to all of our Services, including our websites, software platforms, and professional consulting engagements.

3. Accounts

To access certain Services, you may need to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate, current, and complete information when creating your account.

You must be at least 18 years old to use our Services.

4. Subscriptions and Billing

Merchant of Record

All payments for our SaaS subscription products are processed by Paddle.com Market Limited (“Paddle”), who acts as our Merchant of Record. This means Paddle is the seller of record for these transactions and handles payment processing, tax collection, and invoicing on our behalf. When you purchase a subscription, your contractual relationship for payment is with Paddle, and Paddle’s terms of service apply to the payment relationship.

Recurring Billing

Subscriptions are billed on a recurring basis (monthly or annually, depending on the plan you choose). By subscribing, you authorise Paddle to charge the applicable fees at the start of each billing period.

Price Changes

We may change subscription fees from time to time. We will give you at least 30 days’ notice of any price increase. If you do not agree to the new price, you may cancel your subscription before the next billing period.

Cancellation

You may cancel your subscription at any time through your account settings or by contacting us at [email protected]. Cancellation takes effect at the end of your current billing period. You will continue to have access to the Service until the end of the period you have already paid for.

Free Trials

We may offer free trials from time to time. At the end of a free trial, your subscription will automatically convert to a paid plan unless you cancel before the trial ends.

5. Refund Policy

We offer a 14-day cooling-off period for consumer subscriptions in accordance with the UK Consumer Contracts Regulations 2013. If you cancel within 14 days of your initial purchase, you are entitled to a full refund.

For cancellations after the 14-day period, we may offer pro-rata refunds for annual subscriptions at our discretion. Refunds for consulting services that have already been delivered are not available.

6. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose
  • Attempt to gain unauthorised access to our systems or other users’ accounts
  • Interfere with or disrupt the integrity or performance of the Services
  • Reverse engineer, decompile, or disassemble any part of our software
  • Use automated systems to access the Services in a manner that exceeds reasonable use
  • Resell or redistribute the Services without our written consent

We reserve the right to suspend or terminate your access if you breach these terms.

7. Intellectual Property

All content, software, and materials provided through our Services (including text, graphics, logos, code, and documentation) are owned by Accelerate Outcome Ltd or our licensors and are protected by intellectual property laws.

Your subscription grants you a limited, non-exclusive, non-transferable licence to use our software products for your internal business purposes during the term of your subscription.

You retain all rights to any data you upload to or create within our Services. We do not claim ownership of your data.

8. Data and Privacy

We take your privacy seriously. Our collection and use of personal data is governed by our Privacy Policy, which forms part of these Terms. By using our Services, you acknowledge that you have read and understood our Privacy Policy.

9. Availability and Support

We aim to keep our Services available at all times but do not guarantee uninterrupted access. We may occasionally need to perform maintenance or updates that temporarily affect availability.

We provide support during normal business hours (Monday to Friday, 9am to 5pm GMT). Response times depend on your subscription plan.

10. Limitation of Liability

To the maximum extent permitted by law:

  • Our total liability to you for any claims arising from or related to these Terms or our Services shall not exceed the total fees you have paid to us in the 12 months preceding the claim.
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, business opportunities, or goodwill.
  • We provide our Services “as is” and “as available” without warranties of any kind, whether express or implied, except where such warranties cannot be excluded by law.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded or limited under English law.

11. Termination

Either party may terminate these Terms:

  • You may cancel your subscription at any time as described in Section 4.
  • We may suspend or terminate your access immediately if you breach these Terms, or with 30 days’ notice for any other reason.

Upon termination:

  • Your right to use the Services will cease.
  • We will make your data available for export for 30 days after termination, after which it may be deleted.
  • Any fees already paid for the current billing period are non-refundable (except as required by law or our Refund Policy).

12. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Services at least 30 days before the changes take effect.

Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the changes, you should stop using the Services and cancel your subscription.

13. General

  • Entire agreement: These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and us regarding the Services.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force.
  • Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
  • Assignment: You may not assign your rights under these Terms without our written consent. We may assign our rights and obligations without restriction.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales. Any disputes arising from or relating to these Terms or our Services shall be subject to the exclusive jurisdiction of the courts of England and Wales.
